These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services (collectively, the “Services”) provided by Certifly Systems Solutions Limited (“Certifly”, “we”, “us”, “our”).

By accessing or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

1. About the Services

Certifly provides a platform for online assessments, exams, courses, certifications, reporting, and related tools that may include integrity controls and analytics.

2. Eligibility and Accounts

  • You must provide accurate information when creating an account and keep it up to date.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must immediately notify us of any unauthorized use of your account.

3. Acceptable Use

You agree not to:

  • Use the Services for unlawful, harmful, or fraudulent purposes
  • Attempt to bypass security controls or gain unauthorized access to accounts or systems
  • Interfere with or disrupt the integrity or performance of the Services
  • Upload malicious code or attempt to exploit vulnerabilities
  • Impersonate others or misrepresent your affiliation with any person or entity

4. Assessments, Exams, and Integrity Controls

When you take an assessment, you agree to comply with the exam rules and instructions provided by the exam administrator. Certain exams may enable integrity features (including proctoring, activity monitoring, or identity checks). Your use of these features is subject to our Privacy Policy and any additional requirements set by the exam administrator.

5. Instructor/Creator Content

If you create or upload content (such as courses, exams, questions, or other materials), you are responsible for ensuring you have the rights to use and distribute that content. You grant us a license to host, store, reproduce, and display such content as necessary to operate and improve the Services.

6. Payments, Subscriptions, and Access

  • Certain content or features may require payment or an active subscription.
  • Prices, billing cycles, and included features are displayed at purchase time and may be updated.
  • Payment processing may be handled by third-party providers. We do not store full payment card details.
  • Access to paid exams/courses may be conditioned on successful payment confirmation.

7. Refunds

Refund eligibility (if any) depends on the product type (subscription, exam, course) and the policies shown at checkout or communicated by your organization. Where refunds are available, we may require transaction verification and may deny requests involving fraud, abuse, or policy violations.

8. Intellectual Property

The Services, including software, design, text, graphics, logos, and other materials, are owned by or licensed to Certifly and are protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Services unless we provide written permission.

9. Third-Party Services

The Services may integrate with third-party services (e.g., payment processors, analytics, email providers). Your use of third-party services may be subject to their own terms and policies.

10. Disclaimer

The Services are provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Services will be uninterrupted, error-free, or secure.

11. Limitation of Liability

To the maximum extent permitted by law, Certifly will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill arising from or related to your use of the Services.

12. Indemnification

You agree to indemnify and hold harmless Certifly from any claims, liabilities, damages, losses, and expenses (including legal fees) arising out of or related to your use of the Services, your content, or your violation of these Terms.

13. Termination

We may suspend or terminate access to the Services if we believe you have violated these Terms or if necessary to protect the Services or other users. You may stop using the Services at any time.

14. Changes to the Services or Terms

We may update the Services and these Terms from time to time. If we make material changes, we will update the “Last updated” date and may provide additional notice where required.

15. Governing Law

These Terms are governed by the laws applicable in Nigeria, without regard to conflict of law principles. Where permitted, disputes will be resolved in the competent courts in Nigeria.
